Plz help me with power of attorney over my mom! (BEST ANSWER WILL GET 10 PTS)?

My mom has been in the hospital since March 8, '08 and has mentioned to me about gettin POA over her. My sister is the oldest (24 y.o.) and my mother does not want her to get POA over her bcuz she loves to party! So my mom has asked me to do it. I am 21 y.o. married and have a daughter and I dont smoke or drink and I guess you can say laid back! I do not know what I am doing nor how to do it.
